Please read these Terms and Conditions carefully before accessing or using the Equity Circle platform

By registering an account or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Definitions

In these Terms, the following definitions apply:

• "Platform" means the Equity Circle website, mobile applications, and all related services provided by Equity Circle Group Ltd.

• "User", "you", or "your" means any individual who accesses or uses the Platform.

• "Content" means any text, images, videos, data, or other material posted, uploaded, or shared on the Platform.

• "Creator" means a User who publishes content, runs communities, or offers paid subscriptions through the Platform.

• "Subscription" means a paid membership to access premium content or communities on the Platform.

3. Eligibility

You must be at least 18 years of age to register for or use the Platform. By creating an account, you confirm that you are 18 or older. Equity Circle reserves the right to terminate any account where we have reason to believe the user does not meet this requirement.

You must also have the legal capacity to enter into a binding agreement and must not be prohibited from using the Platform under the laws of any applicable jurisdiction.

4. Account Registration

4.1 Creating an Account

To access most features of the Platform, you must register and create an account. You agree to:

• Provide accurate, current, and complete information during registration.

• Keep your account information up to date.

• Maintain the confidentiality of your login credentials.

• Accept responsibility for all activities that occur under your account.

4.2 Account Security

You are responsible for all activity that takes place under your account. You must notify us immediately at info@equitycirclegroup.com if you become aware of any unauthorised use of your account.

4.3 One Account Per User

You may only hold one active account on the Platform at any time. Creating multiple accounts, including to circumvent a suspension or ban, is strictly prohibited.

5. Use of the Platform

5.1 Permitted Use

You may use the Platform solely for lawful purposes and in accordance with these Terms. The Platform is intended to facilitate community engagement, content creation, and professional networking among adults.

5.2 Prohibited Conduct

You agree not to use the Platform to:

• Post, share, or distribute unlawful, harmful, defamatory, abusive, harassing, threatening, or discriminatory content.

• Upload or share content that infringes any third party intellectual property, privacy, or other legal rights.

• Distribute spam, unsolicited promotions, or malicious software.

• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

• Scrape, harvest, or systematically collect data from the Platform without our prior written consent.

• Attempt to gain unauthorised access to any part of the Platform, its servers, or associated systems.

• Engage in any conduct that disrupts, damages, or impairs the integrity or performance of the Platform.

• Facilitate or encourage any of the above prohibited activities.

6. User Generated Content

6.1 Your Content

You retain ownership of the content you post on the Platform. By submitting content, you grant Equity Circle Group Ltd a non exclusive, worldwide, royalty free licence to use, store, display, and distribute that content solely for the purpose of operating and improving the Platform.

6.2 Content Standards

All content you post must comply with our Community Guidelines and must not:

• Be false, misleading, or deceptive.

• Constitute hate speech, incite violence, or discriminate against individuals on the basis of protected characteristics.

• Include explicit sexual or adult content unless expressly permitted in a designated area of the Platform.

• Depict or promote self harm, illegal activity, or abuse.

6.2.1 Zero-Tolerance Policy

Equity Circle maintains a ZERO-TOLERANCE policy regarding objectionable content and abusive users. This means we do not tolerate any form of the following: Objectionable Content Includes (but is not limited to):

Hate Speech:

Content attacking individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or nationality
Use of racial slurs or derogatory terms
Content promoting discrimination against protected groups

Harassment & Bullying:

Repeated unwanted contact or messages
Threats of physical harm or violence
Sharing private information without consent (doxxing)
Encouraging others to harass or bully someone
Posting humiliating or degrading content about others

Sexual Content:

Nudity or pornography
Sexual solicitation or explicit sexual language
Sexually explicit imagery or videos
Content sexualizing minors (reported to authorities immediately)

Violence & Harm:

Content promoting violence or terrorism
Content depicting graphic violence
Content promoting self-harm or suicide
Content promoting illegal weapons or explosives

Illegal Activities:

Content promoting drug use or sale
Content promoting fraud or scams
Content promoting theft or property damage
Content promoting any illegal activity

Spam & Misleading Content:

Fake news or deliberate misinformation
Phishing attempts or scams
Pyramid schemes or fraudulent promotions
Unsolicited advertising or spam

Any violation of this zero-tolerance policy will result in:

Immediate removal of the offending content
Suspension or permanent termination of the user's account
Reporting to relevant authorities where required by law
No tolerance for repeat offenders

6.3 Content Moderation

Equity Circle uses both automated AI assisted tools and human review to moderate content. We reserve the right to remove any content that violates these Terms or our Community Guidelines, without prior notice.

6.4.1 How to Report Content

Users can report objectionable content through:

In-App Reporting:

1. Tap the three-dot menu (⋮) on any post or comment

2. Select "Report" from the dropdown menu

3. Choose the reason for reporting (e.g., harassment, hate speech, spam, inappropriate content)

4. Tap "Submit Report"

5. You will receive confirmation that your report was submitted

Through the "Block User" feature

6.4.2 What Happens After Reporting

When content is reported:
● The content is immediately flagged for review
● Our moderation team is notified instantly
● The content may be temporarily hidden pending review
● You will receive acknowledgment of your report within 24 hours
● Initial action is taken within 48 hours
● Full investigation is completed within 7 days
● You will be notified of the outcome where appropriate
Emergency Situations:
● Threats of violence are escalated immediately
● Child safety concerns are reported to authorities immediately
● Illegal content is reported to law enforcement

6.4.3 Blocking Users
Users can block any other user directly from posts, comments, or feeds without visiting their profile.

How to Block a User from Posts/Feeds:

1. Tap the three-dot menu (⋮) on any post or comment by the user

2. Select "Block User" from the dropdown menu

3. Confirm by tapping "Block" in the confirmation dialog

The user is immediately blocked

What Happens When You Block a User:
● ALL content from the blocked user is INSTANTLY removed from your feed
● The blocked user cannot view your profile or interact with you
● The blocked user cannot send you messages
● The blocked user cannot follow you
● The blocked user cannot comment on your posts
● Equity Circle's moderation team is automatically notified
● The blocked user's content is reviewed for potential violations
● The block remains in effect until you choose to unblock

Managing Blocked Users:
● Go to Settings > Privacy > Blocked Users
● View list of all blocked users
● Unblock users at any time
● After unblocking, normal interaction is restored

6.4.4 Moderation Response Time
Equity Circle is committed to:
● Acknowledging all reports within 24 hours
● Taking initial action within 48 hours
● Completing full investigation within 7 days
● Notifying reporters of outcomes where appropriate
● Escalating emergency situations immediately
● Providing appeal process for disputed decisions

6.4.5 Appeal Process
If you believe your content was removed in error or your account was suspended unfairly:

1. Email info@equitycirclegroup.com with "Appeal" in the subject line

2. Include your username and details of the content/action you are appealing

3. Our moderation team will review your appeal within 7 business days

4. You will receive a written response with our decision

5. If your appeal is successful, your content/account will be restored

6.5 User Safety and Abuse Prevention

6.5.1 Our Commitment

Equity Circle is committed to maintaining a safe and respectful environment for all users. We take all reports of abuse seriously and act promptly to investigate and address violations.

6.5.2 Abuse Prevention Measures

Our platform includes:
● Automated content filtering using AI technology
● Human moderation teams
● User blocking capabilities from posts, comments, and profiles
● Content reporting mechanisms
● Account verification processes
● 24/7 content monitoring
● Real-time abuse detection systems

6.5.3 Abusive Users Definition

Abusive Users Are Those Who:
Repeated Offenders:
● Post objectionable content multiple times
● Continue harmful behavior after warnings
● Create new accounts to avoid blocks or bans

Harassers:
● Send threatening or intimidating messages
● Stalk or monitor other users without consent
● Share others' personal information without permission (doxxing)
● Sexually harass other users

Bullies:
● Target specific individuals or groups
● Encourage others to harass or bully
● Post humiliating content about others
● Use hate speech or discriminatory language

Scammers:
● Attempt to defraud other users
● Post misleading financial information
● Impersonate others for personal gain
● Run fake promotions or giveaways
6.5.4 Consequences for Abusive Users

Users found to be engaging in abusive behavior may face:
● First violation: Content removal and warning
● Second violation: Temporary account suspension (7 days)
● Third violation: Permanent account termination
● Severe violations: Immediate permanent ban without warning
● Legal action: Where appropriate and required by law
● Reporting to authorities: For illegal activities

7. Subscriptions and Payments

7.1 Subscription Plans

Access to certain features, communities, or creator content on the Platform may require a paid Subscription. Details of available plans, pricing, and included features are set out on the Platform.

7.2 Billing

Subscriptions are billed on a recurring basis (monthly or annually, as selected). Payments are processed securely through Apple's In-App Purchase (IAP) system. By subscribing, you authorise us to charge your payment method on a recurring basis until cancellation.

7.3 Cancellation

You may cancel your Subscription at any time via your Apple ID account settings (Settings > Equity Circle > Subscriptions). Cancellation will take effect at the end of the current billing period. You will continue to have access to your Subscription benefits until that date. Note: Deleting the app does not automatically cancel your subscription.

7.4 Refunds

All payments are non refundable except where required by applicable law or as expressly stated in our Refund Policy. Please note: As payments are processed by Apple, any refund requests for purchases made through the App Store must be directed to Apple Support. Equity Circle Group Ltd cannot process refunds for App Store purchases directly.

7.5 Price Changes

We reserve the right to modify Subscription pricing. We will provide reasonable notice of any price changes. Any price increase will be subject to Apple's App Store policies, and your continued subscription may require your explicit consent depending on applicable laws.

7.6 Restoring Purchases

All in-app purchases and subscriptions are processed by Apple. If you change your device, delete the app, or lose access to your subscription due to a technical issue, you can restore your previous purchases.

To restore purchases:

1. Open the Equity Circle app.

2. Go to Settings.

3. Go to Membership & Payments.

4. Go to Manage Subscription.

5. Tap "Restore Purchases".

6. Enter your Apple ID password if prompted.

7. Your previous purchases and active subscriptions will be automatically restored, subject to Apple's App Store policies.

Please note: Restoring purchases does not start a new subscription or extend your billing period. If your subscription has expired, you will need to purchase a new subscription to regain access.

8. Creators

8.1 Creator Responsibilities

If you use the Platform as a Creator, you are responsible for all content you publish and for ensuring that your activities comply with these Terms, applicable laws, and any tax obligations arising from payments received through the Platform.

8.2 Creator Payments

Where the Platform facilitates payments between Users and Creators, Equity Circle Group Ltd acts as an intermediary and is not responsible for the quality, accuracy, or lawfulness of creator content. Creators must comply with all relevant financial regulations and are solely responsible for their tax obligations.

8.3 Creator Content

Creators must not publish content that violates these Terms, our Community Guidelines, or applicable law. Equity Circle reserves the right to suspend or remove a Creator's account if they are found to be in breach.

9. Intellectual Property

9.1 Platform Ownership

All intellectual property rights in the Platform, including its design, software, branding, logos, and original content produced by Equity Circle, are owned by or licensed to Equity Circle Group Ltd. Nothing in these Terms grants you any rights to use our intellectual property without our express written consent.

9.2 Feedback

If you provide feedback or suggestions about the Platform, you agree that we may use such feedback freely and without obligation to you.

10. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your data as described in the Privacy Policy.

11. Third Party Services

The Platform may contain links to or integrations with third party websites and services. These are provided for convenience only. Equity Circle Group Ltd does not endorse, and is not responsible for, the content, privacy practices, or terms of any third party services. Your use of such services is at your own risk and subject to their respective terms.

12. Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Equity Circle Group Ltd makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non infringement.

We do not warrant that:

• The Platform will be uninterrupted, secure, or error free.

• Any content on the Platform is accurate, complete, or up to date.

• The Platform will meet your specific requirements.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Equity Circle Group Ltd and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising from or related to these Terms or the Platform shall not exceed the greater of: (a) the total fees paid by you to Equity Circle in the twelve months preceding the claim; or (b) £100.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Equity Circle Group Ltd and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Platform.

• Your violation of these Terms.

• Any content you post or share on the Platform.

• Your violation of any third party rights.

15. Suspension and Termination

15.1 Termination by You

You may delete your account at any time via your account settings. Upon deletion, your access to the Platform will cease. Please refer to our Privacy Policy for details on how your data is handled following account deletion.

15.2 Termination by Us

We reserve the right to suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or acted in a manner harmful to other users or the Platform.

15.3 Effect of Termination

Upon termination, your right to access and use the Platform will immediately cease. Provisions of these Terms which by their nature should survive termination shall do so, including sections on intellectual property, disclaimers, limitation of liability, and indemnification.

16. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will provide reasonable notice, for example, via email or a prominent notice on the Platform. Your continued use of the Platform following notice of changes constitutes your acceptance of the revised Terms.

If you do not agree with the revised Terms, you should stop using the Platform and delete your account.

17. Governing Law and Disputes

These Terms and any dispute or claim arising out of or in connection with them (including non contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales.

You and Equity Circle Group Ltd agree to submit to the exclusive jurisdiction of the courts of England and Wales in relation to any dispute arising from these Terms or your use of the Platform.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Equity Circle Group Ltd regarding your use of the Platform, and supersede all prior agreements and understandings.
