End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Equity Circle Group Ltd ("Equity Circle", "we", "our", or "us") for the use of the Equity Circle mobile application (the "App").

By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree, do not download, install, or use the App.

Acceptance of Agreement
By downloading, installing, or using the App, you acknowledge that you have read, understood, and agree to be bound by this EULA, our Terms of Service, and our Privacy Policy. If you do not agree to these terms, you must not use the App.
License Grant
Equity Circle grants you a limited, non-exclusive, non-transferable, revocable license to use the App on your iOS device for personal, non-commercial purposes, subject to this EULA and the Terms of Service. This license does not grant you any ownership rights to the App or its content.
Content Guidelines and Zero-Tolerance Policy

3.1 Zero-Tolerance Policy
The App maintains a ZERO-TOLERANCE policy for objectionable content and abusive users. This means we do not tolerate any form of:
Objectionable Content Includes (but is not limited to):
Hate Speech:
● Content attacking individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or nationality
● Use of racial slurs or derogatory terms
● Content promoting discrimination against protected groups
Harassment & Bullying:
● Repeated unwanted contact or messages
● Threats of physical harm or violence
● Sharing private information without consent (doxxing)
● Encouraging others to harass or bully someone
● Posting humiliating or degrading content about others
Sexual Content:
● Nudity or pornography
● Sexual solicitation or explicit sexual language
● Sexually explicit imagery or videos
● Content sexualizing minors (reported to authorities immediately)
Violence & Harm:
● Content promoting violence or terrorism
● Content depicting graphic violence
● Content promoting self-harm or suicide
● Content promoting illegal weapons or explosives
Illegal Activities:
● Content promoting drug use or sale
● Content promoting fraud or scams
● Content promoting theft or property damage
● Content promoting any illegal activity
Spam & Misleading Content:
● Fake news or deliberate misinformation
● Phishing attempts or scams
● Pyramid schemes or fraudulent promotions
● Unsolicited advertising or spam
Abusive Users Are Those Who:
Repeated Offenders:
● Post objectionable content multiple times
● Continue harmful behavior after warnings
● Create new accounts to avoid blocks or bans
Harassers:
● Send threatening or intimidating messages
● Stalk or monitor other users without consent
● Share others' personal information without permission (doxxing)
● Sexually harass other users
Bullies:
● Target specific individuals or groups
● Encourage others to harass or bully
● Post humiliating content about others
● Use hate speech or discriminatory language
Scammers:
● Attempt to defraud other users
● Post misleading financial information
● Impersonate others for personal gain
● Run fake promotions or giveaways

3.2Consequences for Violations
Any violation of this zero-tolerance policy will result in:
● First violation: Content removal and warning
● Second violation: Temporary account suspension (7 days)
● Third violation: Permanent account termination
● Severe violations: Immediate permanent ban without warning
● Legal action: Where appropriate and required by law
User-Generated Content and Safety
By posting content on the App, you acknowledge and agree that:
4.1 Content Moderation
● Content may be moderated, removed, or blocked at any time
● We use automated AI-based filtering and human moderation
● We reserve the right to remove any content that violates our policies
● Content removal decisions can be appealed
4.2 Flagging Inappropriate Content
● Users can flag inappropriate content using in-app tools
● Every post and comment has a "Report" button
● Reports are acknowledged within 24 hours
● Initial action is taken within 48 hours
● Full investigation is completed within 7 days
4.3 Blocking Users
● Users can block any other user directly from posts, comments, or feeds
● Blocked content is INSTANTLY removed from the blocking user's feed**
● Blocked users cannot interact with the blocking user in any way**
● Equity Circle is automatically notified of all blocking actions**
● The blocked user's content is reviewed for potential violations**
● Users can manage blocked users in Settings > Privacy > Blocked Users
Reporting and Blocking Mechanism
5.1 How to Report Content
Users can report objectionable content through:
In-App Reporting:
1. Tap the three-dot menu (⋮) on any post or comment
1. Select "Report" from the dropdown menu
2. Choose the reason for reporting
3. Tap "Submit Report"
4. You will receive confirmation

  ● Through the "Block User" feature
5.2 How to Block a User
Users can block abusive users directly from posts, comments, or feeds:
Block from Posts/Feeds:
1. Tap the three-dot menu (⋮) on any post or comment by the user
2. Select "Block User" from the dropdown menu
3. Confirm by tapping "Block" in the confirmation dialog
4. The user is immediately blocked
5. All their content is instantly removed from your feed
5.3 Moderation Response Time
Equity Circle is committed to:
1. Acknowledging all reports within 24 hours
2. Taking initial action within 48 hours
3. Completing full investigation within 7 days
4. Notifying reporters of outcomes where appropriate
5. Escalating emergency situations immediately
5.4 Appeal Process
If you believe your content was removed in error or your account was suspended unfairly:
1. Email info@equitycirclegroup.com with "Appeal" in the subject line
2. Include your username and details of the content/action you are appealing
3. Our moderation team will review your appeal within 7 business days
4. You will receive a written response with our decision
5. If your appeal is successful, your content/account will be restored
Prohibited Conduct
You agree not to:
● Post objectionable or abusive content
● Harass or bully other users
● Send unwanted or threatening messages
● Attempt to circumvent content moderation
● Create multiple accounts to avoid blocks
● Use the App for illegal purposes
● Infringe on intellectual property rights
● Collect or harvest user data without consent
● Impersonate other users or entities
● Distribute malware or harmful code
● Share others' personal information without permission
● Engage in any form of discrimination or hate speech
Content Moderation
7.1 Moderation Systems
Equity Circle uses a multi-layered approach:
● Automated AI-based content filtering Scans content in real-time
● Human moderation teams Review flagged content
● User reporting systems Allow community participation
● Blocking mechanisms Give users control over their experience
● 24/7 monitoring Continuous platform safety
7.2 Moderation Actions
We reserve the right to:
● Remove content that violates this EULA or Terms of Service
● Suspend or terminate accounts of abusive users
● Report illegal content to authorities
● Take any action necessary to maintain platform safety
● Review and act on all user reports within 48 hours
Intellectual Property
The App and all related intellectual property rights are owned by Equity Circle Group Ltd. This EULA does not grant you any rights to use our intellectual property except as expressly stated.
Privacy
Your use of the App is subject to our Privacy Policy, which is incorporated into this EULA by reference. By using the App, you consent to the collection and use of your data as described in the Privacy Policy.
Termination
Equity Circle reserves the right to terminate this license and your access to the App at any time for violations of this EULA or the Terms of Service. Upon termination, you must cease all use of the App and delete it from your device.
Disclaimer of Warranties
The App is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability
To the fullest extent permitted by law, Equity Circle shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App.
Governing Law
This EULA is governed by the laws of England and Wales. Any disputes arising from this EULA shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to This EULA
We may update this EULA from time to time. Continued use of the App after changes constitutes acceptance of the revised EULA. Material changes will be communicated through the App or via email.
User Safety Commitments
Equity Circle is committed to:
● Maintaining a safe platform for all users
● Responding to reports within 48 hours
● Removing objectionable content promptly
● Banning abusive users permanently
● Protecting user privacy and safety
● Continuous improvement of safety measures
● Providing transparent moderation processes
Apple-Specific Terms
17.1 Acknowledgement
You acknowledge that this EULA is between you and Equity Circle Group Ltd, not with Apple Inc. ("Apple"). Equity Circle Group Ltd is solely responsible for the App and its content.
17.2 Scope of License
The license granted to you is limited to use on Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the App Store Terms of Service.
17.3 Maintenance and Support
Equity Circle Group Ltd is solely responsible for providing maintenance and support for the App. Apple has no obligation to provide any maintenance or support services.
17.4 Warranty
To the maximum extent permitted by law, Apple has no warranty obligation whatsoever with respect to the App.
17.5 Product Claims
Equity Circle Group Ltd, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your use of the App.
17.6 Intellectual Property Rights
In the event of any third-party claim that the App infringes intellectual property rights, Equity Circle Group Ltd, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of such claim.
17.7 Legal Compliance
You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not listed on any U.S. Government list of prohibited or restricted parties.
17.8 Third-Party Beneficiary
Apple and its subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance of this EULA, Apple will have the right to enforce this EULA against you as a third-party beneficiary.
